1. Acceptance of Terms

By accessing, registering, and using KryoChat ("Platform," "Service," "we," "us," "our"), owned and operated by Synqronlabs Pvt Ltd, you agree to be bound by these Terms of Service ("T&S"). If you do not agree to these terms, you may not use the Platform.

These T&S are governed by the laws of India, including but not limited to the Indian Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.

2. Platform Description & Use

2.1 Service Overview

KryoChat is a messaging automation platform that allows users to:

Connect their Instagram accounts via OAuth
Create and manage automated messaging workflows
Send messages through Instagram and future Meta platforms (Facebook, WhatsApp)

2.2 Permitted Use

You may use KryoChat solely for lawful purposes. You agree not to:

Use the Platform to send spam, harassment, or abusive messages
Engage in any illegal activity prohibited under the Indian Information Technology Act, 2000 (IT Act)
Violate Instagram's Terms of Service or Meta's Platform Policies
Attempt unauthorized access or manipulation of the Platform
Reverse engineer, decompile, or circumvent Platform security
Use automated tools, bots, or scripts (except as explicitly authorized)
Transmit malware, viruses, or harmful code
Impersonate others or misrepresent your identity
Collect data from other users without consent

2.3 Age & Eligibility

You must be at least 13 years old to use KryoChat
You must maintain an active Instagram account (which requires compliance with Instagram's age policies)
You are responsible for ensuring your use complies with all applicable laws in your jurisdiction

3. Account Registration & Security

3.1 Registration Requirements

To use KryoChat, you must:

Provide accurate, complete, and up-to-date information
Maintain the confidentiality of your account credentials
Notify us immediately of any unauthorized access or breach

3.2 Instagram OAuth Authentication

You authenticate via Instagram OAuth, managed by Meta
We do not store your Instagram password
You remain responsible for securing your Instagram account
Meta controls Instagram account access; we do not manage your Instagram account credentials

3.3 Account Responsibility

You are solely responsible for:

All activities conducted under your KryoChat account
Compliance with Instagram's Terms of Service and Meta's Platform Policies
Content and messages sent through your workflows
Obtaining proper consent from message recipients

3.4 Account Suspension & Termination

We reserve the right to suspend or terminate your account if:

You violate these T&S or applicable laws
You engage in spam, harassment, or abusive behavior
Your account is used for illegal purposes
Meta revokes your OAuth access or terminates your Instagram account
We reasonably believe your account poses a security or legal risk

4. Intellectual Property & Content

4.1 Platform Ownership

All content, features, functionality, design, and intellectual property of KryoChat remain the exclusive property of Synqronlabs Pvt Ltd. You are granted a limited, non-exclusive, revocable license to use the Platform for its intended purposes.

4.2 User-Generated Content

You retain ownership of workflows and message templates you create. By using KryoChat, you grant us a non-exclusive right to store, process, and execute your workflows to provide the Service.

4.3 Prohibited Content

You may not transmit or store:

Illegal content
Obscene or defamatory material
Content that violates others' intellectual property rights
Content that violates Instagram's or Meta's policies

5. Payment Terms & Billing

5.1 Payment Processing

KryoChat uses the following payment processors:

Razorpay – razorpay.com
Dodo Payments – dodopayments.com

5.2 Payment Responsibility

You agree to pay all charges incurred through your account. You are responsible for providing accurate billing information.

5.3 Payment Processor Terms

Payment processing is governed by the terms of Razorpay and Dodo Payments respectively. We are not liable for payment processor failures, outages, or disputes. Please review their respective terms for refund and dispute resolution policies.

5.4 Currency & Taxes

Prices are in Indian Rupees (INR) unless otherwise stated. You are responsible for any applicable taxes, duties, or levies.

5.5 Refund Policy

Refunds (if applicable) are processed through your payment processor. Contact privacy@kryo.chat for refund inquiries; we will direct you to the appropriate payment processor.

6. Limitation of Liability

6.1 Disclaimer of Warranties

KryoChat is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all express and implied warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or completeness

6.2 KryoChat's Limited Liability

To the maximum extent permitted by Indian law, KryoChat and Synqronlabs Pvt Ltd shall not be liable for:

6.2.1 Third-Party Content & Conduct

The content or conduct of Instagram users or message recipients
Misuse of the Platform by other users
Data breaches or unauthorized access by third parties (except those resulting from our gross negligence)

6.2.2 Meta Platform Dependencies

Changes, outages, or discontinuation of Instagram, Facebook, WhatsApp, or Meta APIs
Meta's termination of OAuth access or policy changes
Issues arising from Meta's platform, infrastructure, or policies
Suspension or removal of your Instagram account by Meta

6.2.3 End-Customer Message Content & Delivery

The content, legality, or compliance of messages you send
Message delivery failures or delays
End-customer responses or actions taken based on your messages
Any harm caused by messages you send through the Platform
Disputes with message recipients regarding communication

6.2.4 Payment & Financial Issues

Payment processor failures, outages, or disputes
Razorpay or Dodo Payments errors or service interruptions
Unauthorized transactions (except those caused by our breach of security)
Currency exchange rates or payment delays

6.2.5 Service Interruptions

Platform downtime, maintenance, or unavailability
Data loss or corruption (except due to our gross negligence)
Bugs, errors, or technical malfunctions
Loss of access to your account or data

6.2.6 Indirect Damages

Lost profits, revenue, or business opportunities
Loss of data or information
Reputational harm
Consequential, incidental, special, or punitive damages

6.3 Liability Cap

Except in cases of gross negligence, willful misconduct, or breach of statutory duties: Our total liability to you shall not exceed the amount you have paid KryoChat in the 12 months preceding the claim.

7. Prohibited Uses & Compliance

7.1 Illegal Activities

You agree not to use KryoChat for:

Sending unsolicited commercial communications (spam) without recipient consent
Harassment, threats, abuse, or defamation
Fraud, phishing, or impersonation
Transmission of malware, ransomware, or harmful code
Copyright infringement or intellectual property violations
Money laundering, terrorist financing, or financial crimes
Any activity prohibited under the IT Act, 2000 or other Indian laws

7.2 Platform Abuse

Automated scraping or data harvesting
Overloading the Platform with requests
Attempting to gain unauthorized access
Circumventing security measures or rate limits
Creating multiple accounts to evade restrictions

7.3 Enforcement

Violation of this section may result in:

Account suspension or termination
Legal action under the IT Act, 2000 and Indian Penal Code
Cooperation with law enforcement
Liability for damages

8. Data Protection & Privacy

KryoChat is committed to protecting your personal data in accordance with the Digital Personal Data Protection Act, 2023. Please review our Privacy Policy for details on how we collect, process, and protect your data.

8.1 User Responsibility

You are responsible for:

Obtaining consent from message recipients before sending messages
Ensuring your messaging complies with applicable laws (anti-spam, anti-harassment, etc.)
Securing your account credentials
Reviewing our Privacy Policy and understanding our data practices

8.2 No Liability for Privacy Breaches by Third Parties

We are not liable for:

Privacy breaches caused by Meta (Instagram/Facebook/WhatsApp)
Data interception or theft by unauthorized third parties (except due to our negligence)
Unauthorized access by other users or hackers

9. Indemnification

You agree to indemnify, defend, and hold harmless Synqronlabs Pvt Ltd, KryoChat, and their officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including attorney fees) arising from:

Your violation of these T&S
Your use of KryoChat
Your violation of Instagram's or Meta's terms
Content you send through the Platform
Your violation of any applicable law

10. Modifications to Terms & Service

10.1 Changes to T&S

We may modify these T&S at any time. Material changes will be communicated via email or platform notification. Your continued use of KryoChat constitutes acceptance of updated terms.

10.2 Service Changes

We may modify, suspend, or discontinue KryoChat (or any feature) at any time, with or without notice. We are not liable for any loss resulting from service modifications or discontinuation.

11. Dispute Resolution & Jurisdiction

11.1 Governing Law

These T&S are governed by the laws of India, without regard to conflict-of-law principles.

11.2 Dispute Resolution

Informal Resolution: First, attempt to resolve disputes by contacting privacy@kryo.chat
Jurisdiction: Disputes shall be resolved in the courts of Mumbai, Maharashtra, India
Arbitration: Alternatively, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996

11.3 Venue

You consent to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

12. Severability

If any provision of these T&S is found invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These T&S, together with our Privacy Policy, constitute the entire agreement between you and Synqronlabs Pvt Ltd regarding KryoChat. They supersede all prior agreements and understandings.

15. Acknowledgment

By using KryoChat, you acknowledge that:

You have read and understood these T&S
You agree to be bound by these terms
You understand the liability limitations in Section 6
You assume responsibility for your use of the Platform
You understand Meta's role as an independent controller of Instagram data
